Terms of Service

These Terms explain the rules that apply when you access or use KODEEFY, including its storefront, administration, commerce, domain, payment, delivery, POS, and related services.

These Terms govern use of KODEEFY by store owners, merchants, staff members, customers using merchant storefronts, and other authorized platform users.

This page is a platform draft and should be reviewed by qualified legal counsel before production publication.

1. Introduction and agreement

KODEEFY is a multi-store commerce platform that helps businesses create and operate online storefronts, manage products and orders, configure supported payments and delivery options, connect domains, use point-of-sale tools where available, and access related commerce features.

These Terms of Service (“Terms”) apply to anyone who creates an account, accesses the KODEEFY admin, uses KODEEFY features, operates a store on the platform, or otherwise uses KODEEFY services (the “Services”).

By creating an account, accessing the Services, or continuing to use KODEEFY after these Terms are presented to you, you agree to these Terms. If you do not agree, you should not use the Services.

Additional policies may apply to your use of KODEEFY, including our Privacy Policy and Acceptable Use Policy. Where those policies apply, they form part of your agreement with KODEEFY.

If you use KODEEFY on behalf of a company or other organization, you confirm that you have authority to accept these Terms for that organization. In that case, “you” includes that organization.

2. Eligibility and account registration

You may use KODEEFY only if you have the legal capacity to enter into a binding agreement under applicable law. If you register or operate a store for a business, you must have authority to act for that business.

  • Provide accurate, current, and complete registration information.
  • Keep account details, store details, and contact information reasonably up to date.
  • Protect your login credentials and restrict unauthorized access to your account.
  • Notify KODEEFY promptly if you become aware of unauthorized or suspicious access to your account.

Sharing credentials can increase security risk. You are responsible for activity that occurs under your account, except where KODEEFY determines that unauthorized access resulted from a failure solely attributable to KODEEFY.

Where reasonably necessary to protect the platform, merchants, customers, or third parties, KODEEFY may request identity, business, or ownership verification before enabling or continuing certain features.

3. Merchant and store-owner responsibilities

KODEEFY provides software and related services that help you operate a store. Providing the platform does not make KODEEFY the seller of your products or services.

As a merchant or store owner, you remain responsible for:

  • Product and service offerings, descriptions, images, pricing, inventory accuracy, and store policies.
  • Order fulfilment, shipping choices, delivery timelines communicated to customers, and after-sales support.
  • Refunds, returns, exchanges, cancellations, and customer complaints related to your store.
  • Compliance with consumer, tax, privacy, advertising, ecommerce, product-safety, and other laws that apply to your business and location.
  • Ensuring that content you upload is accurate, lawful, and that you have the rights needed to use and publish it.
  • Not offering prohibited, restricted, or unlawful goods or services through your store.

Customers who buy from your storefront contract with you for those purchases, subject to your store policies and applicable law. KODEEFY is not a party to those customer-merchant transactions merely because the storefront is hosted or powered by the platform.

4. KODEEFY platform services

Depending on your account, location, and configuration, KODEEFY may provide tools such as:

  • Storefront builder and theme customization
  • Product, catalog, and inventory tools
  • Order and customer management
  • Checkout and supported payment configuration
  • Shipping and delivery settings
  • Point of sale (POS) features where available
  • Custom domain connection and related DNS guidance
  • Staff access and permissions
  • Analytics and reporting views
  • Support and store-setup assistance tools
  • Mobile application access where offered
  • Integrations with third-party providers
  • AI-assisted features where available

Features may vary by plan, early-access status, geography, provider availability, account status, or technical compatibility. KODEEFY may change, limit, suspend, or discontinue features, including experimental or beta capabilities, as the platform evolves.

5. Early access, plans, and fees

KODEEFY may offer free early access to some or all Services. Early access is intended to help merchants launch stores while the platform develops. Free early access is not a promise of permanent free use.

  • Future pricing, plans, limits, and feature packaging may change.
  • Where reasonably practical, KODEEFY will communicate material pricing changes before paid billing begins for affected accounts.
  • Paid plans, if introduced, may include billing cycles, usage limits, renewals, upgrades, downgrades, and plan-specific features.
  • Third-party charges may still apply even when KODEEFY platform fees are waived, including payment providers, domain registrars, couriers, SMS, email, tax, or other services.

Unless separately confirmed in writing, KODEEFY does not guarantee permanent discounts, grandfathered pricing, or lifetime fee waivers.

6. Payments and transactions

KODEEFY may help merchants connect supported payment providers so customers can pay for orders. Payment data is typically processed by those third-party providers under their own terms and security practices.

  • KODEEFY should not be assumed to store full payment-card credentials unless a specific feature expressly states otherwise and is confirmed in product documentation.
  • Provider processing fees, settlement timing, and payout rules may apply.
  • Refunds, chargebacks, disputes, failed authorizations, and settlement outcomes may depend on the payment provider, bank networks, and merchant policies.
  • Cash-on-delivery (COD) collection, reconciliation, and related risk remain the merchant’s responsibility where COD is offered.
  • Merchants are responsible for configuring correct payment methods, settlement details, and storefront checkout settings.

KODEEFY does not guarantee that any payment will be authorized, captured, settled, or paid out. Payment providers may refuse, delay, or reverse transactions according to their rules and applicable law.

7. Taxes

Merchants are responsible for identifying, collecting, remitting, and reporting taxes that apply to their sales and business operations.

  • KODEEFY tools may help display or calculate tax amounts based on merchant configuration, but those tools are not tax, accounting, or legal advice.
  • Merchants remain responsible for tax registrations, invoices, filings, and compliance with local rules.
  • Tax calculations may depend on merchant settings, destination rules, product classification, and changing law.

8. Domains

KODEEFY may help merchants connect custom domains or initiate domain-related workflows through supported registrars or DNS configuration. KODEEFY does not own or control every domain registrar.

  • Domain availability is not guaranteed until confirmed by the relevant registrar.
  • Registration is complete only after registrar confirmation and successful payment where required.
  • Registrar terms, ICANN or local naming rules, and renewal policies may apply.
  • Merchants are responsible for renewals, expiry monitoring, and redemption risk after expiry.
  • DNS changes and SSL provisioning can take time to propagate and may fail if records are incorrect.
  • Transfers may require authorization codes, unlock status, and waiting periods.
  • Registrar outages, policy changes, or failures may affect domain services.
  • Fees may be non-refundable once registrar processing has completed, subject to provider rules and applicable law.

9. Shipping, delivery, and fulfilment

Merchants configure shipping rates, zones, weights, addresses, pickup options, and delivery methods offered to customers. Couriers and logistics providers are third parties.

  • Delivery estimates shown in checkout or order communications are not guarantees.
  • Delays, loss, damage, refused delivery, incorrect addresses, and related disputes may be governed by courier terms and merchant shipping policies.
  • Merchants remain responsible for accurate fulfilment data and packing practices.
  • KODEEFY may provide shipping integrations or settings, but does not become the courier or logistics carrier.

10. Merchant content and intellectual property

Merchant content

You retain ownership of original content you upload to KODEEFY, including product information, images, logos, and store copy, subject to third-party rights in that content. KODEEFY does not claim ownership of your business data merely because it is hosted on the platform.

You grant KODEEFY a limited, worldwide, non-exclusive license to host, store, process, display, transmit, resize, back up, and otherwise use that content only as needed to operate, secure, improve, and provide the Services.

You confirm that you have the rights needed to upload and use the content and that doing so does not infringe third-party rights or applicable law.

KODEEFY intellectual property

KODEEFY and its licensors own the platform software, code, interfaces, documentation, branding, trademarks, templates, and other materials owned or licensed by KODEEFY. These Terms do not transfer ownership of that intellectual property to you. You may use the Services only as permitted by these Terms and any applicable plan limits.

11. Prohibited activities

You must not use KODEEFY to engage in or facilitate:

  • Sale of unlawful goods or services
  • Fraud, deceptive practices, or financial abuse
  • Counterfeit products or trademark-infringing listings
  • Phishing, malware distribution, or other harmful activity
  • Abusive, harassing, or unlawful content
  • Copyright or trademark infringement
  • Unauthorized access to accounts, systems, or data
  • Scraping, automated abuse, or excessive load that disrupts the Services
  • Security bypass, reverse engineering beyond what law permits, or vulnerability exploitation
  • Misleading advertising claims
  • Billing circumvention or unauthorized plan abuse
  • API misuse outside documented limits and permissions
  • Any activity that disrupts or harms the platform, merchants, customers, or providers

12. Privacy and customer data

Merchants may collect and process customer information through their stores. Merchants are responsible for providing appropriate privacy disclosures to their customers and for using customer data lawfully.

  • KODEEFY’s Privacy Policy describes how KODEEFY processes personal information in connection with the platform.
  • Third-party integrations may process data under their own terms and privacy policies.
  • Data retention, export, deletion, and backup options may depend on plan, account status, legal obligations, and technical limits.
  • Merchants must not misuse customer information or use it for unauthorized purposes.
  • Security incidents affecting your store or account should be reported to KODEEFY promptly.

These Terms do not assign a universal controller or processor role for every data flow. Roles may depend on the specific processing activity, applicable law, and contractual arrangements that apply to your account.

13. Third-party services and integrations

The Services may interoperate with third parties, including payment gateways, domain registrars, couriers, email and SMS providers, analytics tools, app stores, cloud infrastructure, and other external integrations.

  • Third-party terms and privacy policies may apply in addition to these Terms.
  • KODEEFY is not responsible for every third-party outage, delay, policy change, fee change, or service failure.
  • Integration availability may change as providers or platform capabilities evolve.
  • Merchants are responsible for selecting, configuring, and maintaining the providers they enable.

14. Service availability and platform changes

KODEEFY aims to operate a reliable platform, but the Services may be affected by maintenance, updates, feature changes, technical interruptions, provider outages, or events outside KODEEFY’s reasonable control.

  • KODEEFY does not guarantee uninterrupted, error-free, or always-available access.
  • Beta or experimental features may be less stable and may change or end without long notice.
  • Where reasonably practical, KODEEFY will communicate material changes that significantly affect core merchant workflows.
  • KODEEFY may update, replace, or discontinue features as the product develops.

15. Suspension and termination

You may stop using KODEEFY and request account closure subject to any applicable plan terms and outstanding obligations.

KODEEFY may suspend or terminate access, in whole or in part, where reasonably necessary, including for non-payment, policy violations, fraud indicators, illegal activity, security risk, repeated abuse, legal or provider requirements, or other material risk to the platform or users.

  • Where reasonably practical, KODEEFY may provide notice before suspension or termination. Emergency cases may require immediate action without prior notice.
  • Where available, KODEEFY may provide a limited opportunity to export certain store data after termination, subject to technical, legal, and security limits.
  • Provisions that by their nature should survive—such as intellectual property, disclaimers, limitation of liability, indemnification, and dispute terms—continue after termination.

16. Disclaimers

To the fullest extent permitted by law, the Services are provided on an “as available” basis. KODEEFY does not guarantee sales volume, revenue, traffic, search ranking, uninterrupted service, or particular business results.

  • Merchant business decisions, pricing, product mix, and marketing remain the merchant’s responsibility.
  • Third-party services remain outside KODEEFY’s full control.
  • AI-assisted output, analytics, forecasts, and recommendations should be reviewed by the merchant before reliance.

17. Limitation of liability

To the fullest extent permitted by applicable law, KODEEFY and its directors, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits or revenue; business interruption; loss of data; third-party service failures; or unauthorized account use, whether based on contract, tort, or any other theory, even if advised of the possibility of such damages.

Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited, including liability for fraud or death or personal injury caused by negligence where such exclusion is prohibited.

18. Indemnification

Indemnification language is provided in draft form and must be reviewed by qualified legal counsel.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless KODEEFY and its directors, officers, employees, and agents from and against claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Unlawful products or services offered through your store
  • Merchant content you upload or publish
  • Customer disputes related to your store
  • Your tax obligations
  • Intellectual-property infringement claims tied to your content or offerings
  • Privacy or data-protection violations connected to your merchant activities
  • Your breach of these Terms or applicable policies

19. Governing law and disputes

Jurisdiction and dispute-resolution choices are unresolved and must be confirmed before publication. Additional governing-law and venue details will be published after formal legal review.

Except where mandatory consumer protections require otherwise, disputes relating to these Terms should first be addressed through good-faith informal resolution. Rights that cannot legally be waived under applicable consumer or other mandatory law remain available.

20. Changes to these Terms

KODEEFY may update these Terms from time to time. The “Last updated” date at the top of this page will be revised when changes take effect.

Where reasonably practical, material changes may be communicated by email, dashboard notice, website notice, or another reasonable method. Where legally permitted, continued use of the Services after the effective date of updated Terms may constitute acceptance of the updated Terms.
